Legal — Terms of Use / EULA
Terms of Use (Software License Agreement)
These Terms establish the conditions of use for the macOS application "Web Capture Library" (hereinafter, the "Software"), which masizime Inc. (hereinafter, "we") provides through the Mac App Store and as a trial edition on the official website. A user is deemed to have agreed to these Terms upon downloading, installing, or using the Software.
Article 1
License
- Subject to the user's compliance with these Terms, we grant the user a non-exclusive, non-transferable right to use the Software. The Software is licensed, not sold.
- The App Store edition may be used to the extent permitted by the terms and conditions of the Mac App Store and Apple Media Services and by these Terms. The website trial edition can be tried for 14 days from first launch; viewing and exporting saved data remain available after expiry.
- Software obtained through the Mac App Store is also subject to Apple's Standard EULA (or the Custom EULA if we present one through the App Store). These Terms supplement that EULA. If they conflict, applicable mandatory law and the EULA presented to the user through the App Store will prevail.
- Copyrights and other intellectual property rights in the Software and accompanying documentation belong to us.
Article 2
Prohibited Conduct
The user must not engage in any of the following:
- Reproducing the Software (except for backup purposes), redistributing it, selling it, lending it, leasing it, or sublicensing it.
- Reverse engineering, decompiling, or disassembling the Software, except where expressly permitted by law.
- Circumventing the Mac App Store's purchase or usage terms, or otherwise using the Software by unauthorized means.
- Using the Software for a purpose that violates laws or public order and morals, including unauthorized access or collection or monitoring intended to infringe the rights of third parties.
- Using the Software in a manner that intentionally places an excessive load on a third party's servers or services.
Article 3
User Responsibility for Capturing Third-Party Websites
- The Software is a tool that retrieves and saves web pages according to the user's instructions, and the user bears sole responsibility for ensuring the legality of the capture targets, capture methods, and use of saved materials.
- The user must, at the user's own responsibility, verify and comply with the copyrights, terms of use, access policies, and other rights and rules of each site being captured. Captured materials must be used within the scope of private use or otherwise as permitted by the rights holder.
- The Software assumes manual importing based on user actions and does not perform unattended crawling or automated batch capture. However, these facts do not guarantee that the user's actions are legal.
- If a dispute arises from a user's capture, storage, or use of a third-party site, the user must resolve the dispute at the user's own expense and responsibility, and we assume no liability. If we incur any loss as a result, including reasonable attorneys' fees, the user must defend and indemnify us. This paragraph applies only to the extent that it does not conflict with the Consumer Contract Act or other mandatory laws.
Article 4
Relationship with External Sites and Services
- The Software retrieves websites specified by the user directly from the user's Mac. The user is responsible for verifying the target site's terms of use, access restrictions, copyrights, and other applicable rights.
- The current version of the Software does not provide functionality for transmitting data to external AI providers. Captured images, extracted body text, tags, and notes are stored in a local library specified by the user.
- If we add integrations with external services in the future, we will separately disclose the nature of those integrations, the scope of data transmitted, and who bears any associated costs.
Article 5
Disclaimer of Warranties (As Is)
The Software is provided "AS IS," and we make no warranties of any kind, whether express or implied. We make no warranty as to merchantability, fitness for a particular purpose, non-infringement, the completeness or accuracy of captures (including the fidelity of page reproduction, whether retrieval succeeds, and the absence of missing data), or uninterrupted or error-free operation. However, this Article does not limit any rights granted to the user under the Consumer Contract Act or other mandatory laws.
Article 6
Limitation of Liability
- If we are liable for damage relating to the Software due to our ordinary negligence (meaning negligence other than willful misconduct or gross negligence), our liability is limited to the ordinary and direct damage actually incurred by the user. We are not liable for lost profits, loss of data, business interruption, indirect, special, or consequential damages, whether or not foreseeable.
- In the circumstances described in the preceding paragraph, our aggregate liability is limited to the amount the user actually paid for the Software.
- The preceding two limitations do not apply to damage caused by our willful misconduct or gross negligence, death or personal injury attributable to us, or liability that cannot be limited under the Consumer Contract Act or any other applicable mandatory law.
Article 7
Updates, Support, and Discontinuation
- If updates are provided, the App Store edition receives them through the Mac App Store and the trial edition through the official website. For the 1.x series, any updates we provide will be available at no additional charge. However, we do not promise that updates will be provided, and their availability, content, and timing are at our discretion. We will prioritize the correction of critical defects and do not guarantee how long support for any particular version of macOS will continue. The terms for providing major version upgrades (version 2.0 and later) will be announced separately.
- Scope and contact for support: We accept inquiries regarding defects and use of the Software at tamura@masizime.com. We do not guarantee a response deadline or support for individual customizations.
- Because the Software operates locally as a standalone application, the user's stored data (JSON files and images in the relevant folders) will remain in the user's possession even after we discontinue providing or supporting the Software.
Article 8
Changes to These Terms
We may amend these Terms without obtaining the user's individual consent, pursuant to Article 548-4 of the Civil Code of Japan, in either of the following cases: (1) when the amendment conforms to the general interest of users; or (2) when the amendment is not contrary to the purpose of these Terms and is reasonable in light of the necessity of the amendment, the appropriateness of the amended content, and other circumstances relating to the amendment. When amending these Terms, we will set an effective date and post the amended Terms and their effective date on this page a reasonable period before the effective date. Material changes will also be announced through the App's update information or similar means. If the user does not agree to an amendment, the user must stop using the Software before its effective date.
Article 9
Governing Law and Jurisdiction
These Terms are governed by the laws of Japan. The Fukuoka District Court or the Fukuoka Summary Court will have exclusive agreed jurisdiction in the first instance over any dispute arising in connection with these Terms or the Software. However, this Article does not prejudice any rights regarding jurisdiction granted to the user under the Consumer Contract Act or other mandatory laws.
